1. Who this is between
This agreement is between CodeBridge Consulting LLC, 450 West Broad St, Ste 312, Falls Church, VA ("CodeBridge," "we," "us") and the business named in the signed proposal ("Client," "you"). Each signed proposal acts as a statement of work. If a proposal conflicts with this agreement, the proposal controls for that project.
2. Services
We'll provide the services described in your proposal. Anything not listed there is out of scope and will be quoted separately before any work starts.
3. What we need from you
- The information, content, photos, access and approvals we ask for, within 5 business days of a request
- Accurate information, and the right to use everything you give us (for example, photos you supply are your own work or licensed)
- One person who can give feedback and approvals
- Feedback gathered into one list per revision round
Delays in materials or approvals move the timeline by the same amount. If a project is stuck waiting on you for more than 30 days, we may pause it and invoice for work completed.
4. Fees and payment
- Fees are set out in your proposal.
- One-time projects: 50% is due before work starts and 50% at launch, unless your proposal says otherwise.
- Monthly services (care plans, management, Local SEO and similar) are billed in advance each month.
- Invoices are due within 7 days. We may pause work on accounts more than 15 days past due.
- Third-party costs (domains, paid apps, ad spend, phone minutes) are billed at cost unless your proposal says they're included.
5. Revisions and changes
Your proposal states how many revision rounds are included. Extra rounds, or changes to the agreed scope, are billed at our hourly rate or through a written change order you approve before the work is done.
6. 14-day fair start guarantee
If a new setup isn't a fit within the first 14 days, you can cancel and we'll refund your setup or project fee, minus hours already spent at our standard hourly rate. If we haven't started substantial work, the refund is in full. This doesn't apply to monthly fees already used.
7. Term and cancellation
- Monthly services are month to month. Either of us can cancel with 30 days' written notice (email is fine).
- One-time projects end when the work in the proposal is delivered and paid for.
- On cancellation, you pay for work done and services provided through the end of the notice period.
8. Who owns what
- Your business content is yours: your name, logo, the text and photos you supply, and your customer data.
- Once paid in full, you own the final deliverables we make for you, including your website's content and design as delivered, and any logo we design for you.
- Your domain stays registered in your name.
- We keep our own tools: templates, reusable code, components, and know-how we use across clients. You get a permanent, non-exclusive license to use them as part of your deliverables.
- Handover: if we host your site on our accounts and you end the care plan, within 30 days and at no extra charge we'll move the site to your own account, or give you the site files and reasonable help moving it.
9. AI tools and images
We may use AI tools to help write, design and build. Any AI-generated images are used for general branding, like banners and backgrounds. They are never presented as your actual work, projects, staff or customers. We don't create fake reviews, testimonials or credentials.
10. Portfolio and reviews
Unless you opt out in writing, we may show finished public work, like your website, in our portfolio. We may ask you for an honest review, but no price, discount or other term depends on whether you leave one or what it says.
11. Confidentiality and data
- We each keep the other's non-public information confidential and use it only for this work.
- When we handle information about your customers (for example call recordings, customer records or form submissions), we do it only on your behalf and to do the agreed work, limit access to the people who need it, and return or delete it when our services end, unless the law requires keeping it.
- Passwords are shared only through a secure method we agree on, never by plain email or text.
Our Privacy Policy covers information collected through our website.
12. Third-party platforms
Our work may rely on platforms like Wix, Google, Jobber, Housecall Pro or Twilio. We aren't responsible for their outages, price changes or policy changes, but we'll help you respond to them.
13. Warranty and liability
- We'll do the work professionally. If something we built doesn't work as described in your proposal, we'll fix it at no charge if you tell us within 30 days of delivery.
- We don't guarantee specific results like search rankings, leads or revenue.
- Neither of us is liable for indirect or consequential damages, such as lost profits. Our total liability under this agreement is limited to the fees you paid in the 6 months before the claim. Nothing here limits liability that the law doesn't allow to be limited.
14. General
- Virginia law governs this agreement. Disputes go to the state or federal courts in Virginia.
- We're an independent contractor, not your employee or partner.
- This agreement and your signed proposal(s) are the whole agreement. Changes must be in writing and accepted by both of us; e-signatures count.
- If we update this agreement, the new version applies only to proposals signed after the update. Your signed version stays in effect for your existing work.
